These Terms & Conditions ("Terms") govern your access to and use of Frequency (the "Service"), a music production, education, DJ and career management platform operated by Stav Danino, a licensed business (Osek Murshe) in Israel ("we", "us", "our", or the "Seller"). By creating an account or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Frequency provides a broad set of tools for musicians, producers, DJs, teachers, students and labels, including but not limited to: track management, audio analysis powered by AI, release planning, cover-art generation, calendar and scheduling, DJ gig management, teaching tools (programs, students, lesson requests), collaboration spaces, marketplace and services, community feed and groups, chat (text, image, audio, video, file attachments and 1:1 audio/video calls), push notifications, billing and admin dashboards. Features, limits, AI models, storage caps and message limits depend on the subscription plan you select and may change over time.
2. Eligibility & Account
- You must be at least 16 years old (or the age of majority in your country) and have legal authority to accept these Terms. If you use the Service on behalf of an organization, you confirm you have authority to bind it.
- You agree to provide accurate registration information and keep it updated.
- You are responsible for safeguarding your account credentials and for all activity under your account.
- One account per person. You may not share, sell or transfer your account.
3. Subscriptions, Billing, Plan Changes & Discounts
Frequency is offered as a recurring monthly subscription with several tiers. Our order process is conducted by our online reseller Paddle.com Market Limited. Paddle is the Merchant of Record for all our orders and handles billing, taxes, invoicing, refunds and customer service inquiries related to payment.
Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms. Your subscription renews automatically each billing period at the then-current price until canceled. Plan upgrades and downgrades are prorated and apply immediately. Cancellations take effect at the end of the current paid period and you retain access until that date.
Discount and promotional codes (including launch discounts, free-trial codes and percentage discounts) are issued at our sole discretion, are personal, non-transferable, cannot be redeemed for cash and may be revoked, modified, expire or be limited per user without prior notice. Prices displayed in the app are in the indicated currency, excluding taxes that may be added by Paddle based on your location.
If a payment fails (status past_due) you may temporarily lose access to paid features (including AI features) until the issue is resolved.
3A. Plans, Prices, Quotas and Add-ons
The following is a complete specification of the plans, quotas and prices as of the current version of these Terms. The base price is in Israeli Shekels (ILS); other currency amounts are fixed, locked values per plan (not FX conversions). Paddle may add VAT or local taxes based on your location.
Recurring monthly subscription plans:
- Free — ₪0: up to 3 projects total, up to 3 gigs per month, up to 2 posts per week, no Teaching module. One-time lifetime AI taste: 1 AI analysis + 3 chat messages with the smart assistant. Does not reset monthly.
- Lite — ₪39 / $12.99 / €11.99 / £9.99 per month: up to 10 projects, up to 8 gigs/month, up to 2 active students, 1 active class, 1 teaching seat (the account owner), up to 4 posts/week, 2 AI analyses/month, 5 AI chat messages/month, 1 automatic AI insight/month. Model: Gemini 3.5 Flash + Gemini 3.1 Pro for audio analyses.
- Starter — ₪89 / $29.99 / €26.99 / £22.99 per month: up to 40 projects, up to 20 gigs/month, up to 5 students, 1 active class, 1 teaching seat, up to 10 posts/week, 8 AI analyses, 50 AI chat messages, automatic insights every 14 days. Model: Gemini 3.5 Flash for chat + Gemini 3.1 Pro for analyses.
- Pro — ₪179 / $59.99 / €54.99 / £45.99 per month: up to 150 projects, unlimited gigs, up to 15 active students, up to 3 active classes, 2 teaching seats (owner + 1 instructor), unlimited posts, 20 AI analyses, 200 AI chat messages, automatic insights every 7 days, Excel/CSV export, gold Pro badge, eligible for extra seat add-ons.
- Studio — ₪349 / $119.99 / €107.99 / £89.99 per month: unlimited projects / gigs / posts, up to 40 active students, up to 3 active classes, 3 teaching seats (owner + 2 instructors), 50 AI analyses, 500 AI chat messages, automatic insights every 3 days, maximum AI queue priority, early access to new models.
Teaching quotas — clarification: An "active student" is counted per active student record (archived students are not counted). An "active class" excludes archived classes; every account with Teaching access receives one free class, and Pro and Studio include 3 active classes at the plan price. These quotas are enforced server-side and in the database — including for administrative accounts — and cannot be bypassed. Exceeding a quota blocks creation of new records only; existing data is never deleted.
Annual plans (billed yearly in advance, 10% discount vs. 12 monthly payments):
- Lite yearly — ₪421 / $139.99 / €129.99 / £107.99 per year
- Starter yearly — ₪961 / $323.99 / €291.99 / £248.99 per year
- Pro yearly — ₪1,933 / $647.99 / €593.99 / £496.99 per year
- Studio yearly — ₪3,769 / $1,295.99 / €1,166.99 / £971.99 per year
Annual plans renew automatically each year unless canceled before the renewal date. Quotas on an annual plan are identical to the matching monthly plan, and AI/bandwidth quotas still reset each calendar month (not once a year). Switching from monthly to yearly, or between plans, is prorated immediately through Paddle; the 30-day refund policy applies to annual plans as well.
Storage and monthly traffic quotas (cumulative storage · Ingress uploads / Egress downloads reset on the 1st of each month):
- Free — 0.5GB storage · 0.5GB/2GB traffic
- Lite — 1GB storage · 3GB/10GB traffic
- Starter — 5GB storage · 15GB/50GB traffic
- Pro — 20GB storage · 50GB/100GB traffic
- Studio — 100GB storage · 150GB/250GB traffic
Paid add-ons (separate monthly subscription via Paddle, cancel anytime):
- 25GB Storage Add-on — ₪14 / $4.49 / €3.99 / £3.49 per month. Stacks on top of your plan's storage quota.
- Extra Class Slot — ₪19 / $5.99 / €5.49 / £4.79 per month. Adds one active class above your plan's class quota (Pro and Studio include 3). The number of students allowed remains subject to your plan's student quota. Available on Lite and above; separate recurring monthly charge, cancel anytime, and the slot stays active until the end of the billing period. After cancellation, classes above quota are not deleted, but no new class can be created until you are back within quota.
- Instructor Seat — ₪29 / $8.99 / €8.29 / £7.19 per month. Designed for college/school accounts: each seat adds one additional instructor who can sign into the account's Teaching module, plus 10 additional active students above your plan quota. The instructor operates under the primary account and within its quotas only, and sees only the students and classes assigned to them (except "Coordinator" or "Teaching Manager" roles — see section 28F). Prorated immediately; cancellation takes effect at the end of the billing period, after which access for seats above quota is blocked automatically without deleting student data.
- Extra Artist Seat — ₪29 / $8.99 / €8.29 / £7.19 per month. Lets one additional person sign in and co-manage your projects/gigs/label/classes. Exclusive to Pro and Studio plans.
- Service Provider subscription — ₪19 / $5.99 / €5.49 / £4.79 per month · two months free trial. Adds a professional profile in the community services catalog (mixing, mastering, private lessons, graphics, live sound, etc.). The trial converts automatically to paid billing unless canceled. A separate platform fee may apply to transactions closed via the platform and will be disclosed before each transaction.
Changes to quotas and prices: The quotas and prices above may change with reasonable prior notice (via in-app notice, email or the pricing page). A price change will not apply to the current billing period of an active subscription — only from the next renewal. A non-material change or one that expands quotas in your favor may take effect immediately.
Cancellations and cancellation fees: You may cancel a subscription at any time; it takes effect at the end of the current billing period (no pro-rata refund, subject to the 30-day refund policy). For gigs (DJ), lessons and appointments you booked through the platform with third parties: your cancellation may trigger a cancellation fee that you set or agree to at booking time. Frequency is not a party to the transaction between you and the counterparty; the cancellation fee is factored into revenue and financial reports, but its collection is entirely your responsibility.
4. Acceptable Use
You agree NOT to use the Service to:
- Violate any law, regulation or third-party rights, including intellectual property, privacy and publicity rights.
- Upload, transmit or share content you do not own or are not licensed to use, including audio, images, lyrics, video, samples or branding.
- Send spam, scams, phishing, unsolicited marketing, malware or any harmful code.
- Harass, threaten, defame, stalk, impersonate or sexually exploit any person; post hate speech, content harmful to minors, or non-consensual intimate content.
- Reverse engineer, decompile, scrape, probe, stress-test or attempt to bypass any access, security or rate-limit controls.
- Resell, sublicense, rent, white-label or otherwise commercially exploit the Service without our written consent.
- Use the Service to build a competing product or to train a machine-learning model.
- Circumvent plan limits, share paid accounts, or use the Service in ways that materially harm other users or the platform.
We may, at our sole discretion and without prior notice, remove or restrict any content, suspend AI features, throttle abusive accounts and terminate accounts that violate these Terms.
5. AI Features
- The Service includes multiple AI features (track analysis, cover-art and image generation, chat assistants, marketing copy, teaching assistant, proactive insights, AI suggestions and more). AI outputs are generated automatically, are provided "as is" and may be inaccurate, incomplete, biased, offensive or unsuitable for a particular purpose.
- You are solely responsible for your prompts, the content and audio you submit, how you use AI outputs and verifying their accuracy and legality before relying on, publishing, distributing or commercializing them.
- You confirm you have all rights, licenses and consents required to submit any audio, image, text, voice or other content to AI features (including third-party samples, vocals, photos and copyrighted works).
- AI outputs are not a substitute for professional advice (legal, financial, medical, mental-health, copyright, accounting or otherwise).
- We may filter, refuse, log or remove inputs and outputs that violate these Terms.
- Prohibited AI uses include: generating illegal content, child sexual abuse material, non-consensual sexual content, deepfakes of real people, voice clones of real people without consent, hate speech, harassment, malware, instructions for weapons or self-harm, and any attempt to jailbreak or circumvent safety controls.
- AI usage is metered per plan (chat messages, analyses, image generations, etc.). Unused quota does not roll over.
5a. Storage, Bandwidth & Paid Add-Ons
- Every file you upload (tracks, cover art, avatars, chat media, stories, etc.) is stored in managed storage and counted against your plan's storage cap: Free 0.5GB · Lite 1GB · Starter 5GB · Pro 20GB · Studio 100GB. When storage reaches 95%, new uploads are blocked until you free space or purchase the storage add-on.
- Monthly bandwidth quotas (reset on the 1st of each calendar month): each plan also has an uploads quota (Ingress — bytes you may upload per month) and a downloads quota (Egress — bytes served from our servers to you or to fans viewing your profile / streaming your tracks): Free 0.5GB/2GB · Lite 3GB/10GB · Starter 15GB/50GB · Pro 50GB/100GB · Studio 150GB/250GB. Exceeding the upload quota blocks new uploads until the next month; sustained overage on downloads may result in throttling or blocking of media delivery until the monthly reset or a plan upgrade.
- Storage add-on 25GB / month for $4.49 (€3.99 / £3.49 / ₪14) — a separate recurring monthly subscription that stacks on top of your plan's storage cap, billed through Paddle. Cancel any time; the add-on remains active until the end of the current billing period. Bandwidth quotas are per plan tier and are not affected by the storage add-on.
- Your files remain your property. Frequency does not access your files for review, does not sell them and does not train AI models on them.
6. Communications: Chat, Calls, Notifications
- The Service offers 1:1 and group chat with text, images, audio messages, video messages, file attachments and 1:1 audio/video calls. You may control who can call you via privacy settings.
- Calls are routed peer-to-peer where possible; signaling, presence and call records are stored on our servers. Recording calls without all participants' consent may be illegal in your jurisdiction — you are solely responsible for compliance.
- You must not transmit content that violates Section 4 or share another person's private information without consent.
- By providing your phone number, email or push token you consent to receive transactional, security and service-related communications (including push notifications). You can opt out of non-essential notifications from your settings.
7. User Content & License to Us
You retain ownership of audio, lyrics, images, video, messages, files, teaching materials and other content you upload or create ("User Content"). You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, copy, transmit, transcode, display, process (including by AI subprocessors) and otherwise use your User Content solely to provide, secure, support and improve the Service.
Public content you choose to publish (e.g. community posts, public profiles, marketplace listings, EPK pages, label pages, shared collaborations) may be viewed by other users and by the public web, including being indexed by search engines and crawled by AI systems.
You represent and warrant that your User Content does not infringe any third-party rights and complies with these Terms. We may remove content at any time without prior notice.
7A. Consent to Data Collection & Use by Frequency
By creating an account and using the Service, you expressly consent and agree that Frequency (operated by Stav Danino) is entitled to collect, store, analyze, process and otherwise use any and all data, content, materials, signals and metadata you upload, submit, generate, transmit or create within the Service — including, without limitation: audio files, tracks, lyrics, images, cover art, videos, chat messages, voice and video messages, file attachments, calls, teaching materials, lesson and student records, gig and calendar data, marketplace listings, AI prompts and outputs, profile information, social and contact data, settings, preferences, language, device, browser, IP address, approximate location, usage and interaction events, performance and crash data, and any other information arising from your use of the Service ("Frequency Data").
You acknowledge and agree that Frequency may use Frequency Data for its own purposes, including: operating, securing and improving the Service; developing new features, models and products; training, evaluating and improving Frequency's own internal AI and analytical systems; producing aggregated, de-identified or statistical insights; business analytics and reporting; troubleshooting and quality assurance; preventing fraud, abuse and policy violations; compliance, legal and audit purposes; and customer support. Frequency may retain and continue to use aggregated and de-identified data derived from Frequency Data indefinitely, even after your account is deleted.
Frequency does not sell your personal data, does not license your private User Content to third parties for their independent commercial use, and does not allow third-party AI subprocessors to train their general foundation models on your inputs. Public content you choose to publish remains subject to the rules in Section 7 above.
This consent is given freely, is a condition of using the Service, and is in addition to (and not in place of) the legal bases described in our Privacy Notice. You may withdraw this consent at any time by deleting your account; withdrawal does not affect processing already carried out, aggregated/de-identified data, or data we are legally required to retain.
8. Collaborations, Teaching, Marketplace and Services
- Collaborations (tracks, gigs, releases) are arrangements between users. We are not a party to these arrangements and are not responsible for any commitment, payment, credit, royalty split or dispute between collaborators.
- Teaching, students and lesson requests are managed between teachers and students. Frequency is a tool only — we are not the employer, agent or representative of any teacher, do not vet teachers and are not responsible for the safety, conduct, quality, pricing or legality of any lesson.
- Marketplace and services features allow users to list, request and discuss items and services. Transactions are between the listing user and the buyer. Frequency is not a party, does not escrow funds, does not verify listings and is not responsible for delivery, quality, refunds or disputes.
- You are solely responsible for tax reporting, invoicing and compliance with all applicable laws when transacting with other users.
9. Third-Party Services & Integrations
The Service relies on or integrates with third parties (e.g. Paddle for payments, Supabase for database/auth/storage, Cloudflare for hosting and edge delivery, AI model providers, push notification gateways, calendar export, social sign-in providers). Their availability, accuracy and terms are governed by their own agreements. Outages, errors or disruptions of these third parties are not under our control and shall not constitute a breach of these Terms.
10. Intellectual Property
The Service — including software, design, branding, documentation, prompts, tour content, generated UI and the "Frequency" name — is owned by Stav Danino and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service within your selected plan. All rights not expressly granted are reserved.
10A. No Cloning, Imitation or Idea Misappropriation
You acknowledge that the Service — including its product concept, feature set, user-flows, module structure (Studio, DJ, Teaching, Community, Strategy, Finance, Calendar, AI Assistant, etc.), naming, wording, visual identity, dashboards, onboarding flow, AI prompt design, tour content, business model, pricing structure and overall "look and feel" — represents substantial creative, financial and strategic investment by Stav Danino and constitutes proprietary confidential know-how and protectable trade dress of Frequency.
You agree that you will NOT, directly or indirectly, whether for yourself or for any third party:
- copy, clone, replicate, reproduce, imitate or build a derivative or substantially similar product, service, platform, app or website inspired by or based on the Service;
- use the Service, its outputs, screenshots, recordings, documentation, tour content, prompts or interface to design, train, benchmark or develop a competing product;
- misappropriate, disclose or commercially exploit any idea, concept, methodology, workflow, module layout, naming convention, AI prompt or business approach learned from the Service;
- register, file or claim any trademark, domain, copyright, patent or other right that is identical or confusingly similar to "Frequency", its logos, module names or visual identity;
- scrape, harvest or systematically extract content, structure or data from the Service for the purpose of replicating it.
This obligation is independent, survives termination of your account indefinitely, and applies regardless of whether the relevant element is registered as IP. Breach causes immediate and irreparable harm for which monetary damages alone are inadequate; we are entitled, without prejudice to any other remedy and without posting bond, to seek injunctive and equitable relief, account of profits, and full compensation for damages and legal fees. Independent development of a genuinely different product, by a person with no access to the Service or its confidential elements, is not prohibited by this clause.
11. DMCA / Copyright Complaints
If you believe content on the Service infringes your copyright, contact Stavdaninomusic@gmail.com with: (i) identification of the work, (ii) the URL or location of the allegedly infringing material, (iii) your contact details, (iv) a statement made under penalty of perjury that you are the rights holder or authorized to act on their behalf, and (v) your physical or electronic signature. We may remove allegedly infringing content and terminate repeat infringers' accounts.
12. Service Availability & Beta Features
We work to keep the Service available but we do not guarantee uninterrupted, timely, secure or error-free performance. We may modify, suspend, discontinue or change pricing of features at any time. Features labeled "beta", "experimental", "preview" or similar are provided without any warranty and may change or be removed at any time.
13. Suspension & Termination
We may suspend or terminate your access (with or without notice) for: material breach of these Terms, non-payment, security or fraud risk, repeated or serious policy violations, abuse of other users, regulatory requirement, or risk to the Service. On termination, your right to use the Service ends; you may export your data within 30 days, after which it may be deleted. Sections that by their nature should survive termination (e.g. ownership, indemnity, liability, governing law) will survive.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT, AI OUTPUTS, COMMUNICATIONS AND THIRD-PARTY INTEGRATIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, ABSENCE OF VIRUSES OR DATA LOSS, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR ACHIEVE ANY CAREER, ARTISTIC OR FINANCIAL OUTCOME.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STAV DANINO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, AUDIO, GOODWILL, REPUTATION, BUSINESS OPPORTUNITY OR SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, AI OUTPUTS, USER CONTENT, COMMUNICATIONS BETWEEN USERS OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU ACTUALLY PAID TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) USD 50. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW (E.G. FRAUD, GROSS NEGLIGENCE, DEATH OR PERSONAL INJURY).
16. Indemnity
You agree to defend, indemnify and hold harmless Stav Danino and our affiliates, employees and contractors from any claim, demand, loss, damage, liability, cost and expense (including reasonable legal fees) arising out of or related to: (i) your User Content, (ii) your use of the Service, (iii) your AI inputs or outputs, (iv) your communications or transactions with other users, (v) your violation of these Terms or applicable law, or (vi) your violation of any third-party right (including intellectual property, privacy and publicity).
17. Changes to the Terms
We may update these Terms from time to time. Material changes will be notified via the Service, by email or by requiring re-acceptance on the billing page. The version date at the top of this page reflects the most recent revision. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
18. Governing Law & Venue
These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. The competent courts of Tel Aviv, Israel shall have exclusive jurisdiction, except where prohibited by mandatory consumer law in your country of residence.
19. Assumption of Risk & No Guaranteed Outcomes
You acknowledge that the Service is a tool — not a guarantee of artistic, musical, educational, commercial, financial, marketing, promotional, social, reputational or career success. Any tips, strategies, insights, forecasts, suggestions, reports, badges, gamification, AI outputs, marketing copy, cover art, scheduling suggestions, analytics or recommendations are informational only and you use them at your own risk. You are solely responsible for the decisions you make based on them.
20. Music Rights, Royalties, Sampling & Distribution
You are solely responsible for clearing all music rights related to any audio, sample, vocal, stem, lyric, cover art or video you upload, process, generate, share, distribute or commercialize through the Service — including master rights, publishing/composition rights, sample clearances, neighbouring rights, performer consents, sync licenses, and registrations with PROs, collecting societies, publishers and distributors. Frequency does not register, collect, report, distribute or pay any royalties on your behalf and is not a publisher, label, distributor, PRO or rights administrator.
21. Backups & Data Loss
While we operate the Service with reasonable care, we do not guarantee against loss, corruption, accidental deletion or unavailability of User Content. You are solely responsible for maintaining your own backups of any audio, project, track, document, image or other content you consider important. To the maximum extent permitted by law, we are not liable for any data loss.
22. Security & Account Protection
We implement reasonable technical and organizational measures to protect the Service. However, no online service is 100% secure. You are responsible for using a strong, unique password, enabling available security features, keeping your devices secure and notifying us immediately at Stavdaninomusic@gmail.com of any unauthorized use of your account. We are not liable for losses resulting from compromised credentials, social engineering or other circumstances outside our reasonable control.
23. Feedback License
If you send us feedback, ideas, suggestions, bug reports, feature requests or proposed improvements, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, modify and incorporate them in the Service and any other product or service, without any obligation, attribution or compensation to you.
24. No Partnership / No Fiduciary Relationship
Nothing in these Terms creates any partnership, joint venture, agency, employment, franchise, fiduciary or trust relationship between you and Frequency. Neither party has authority to bind the other. We do not provide legal, tax, financial, medical, mental health or therapeutic services; any AI-generated content of that nature is not professional advice.
25. Electronic Communications & Consent
You consent to receive communications from us electronically (email, in-app messages, push notifications, SMS where applicable). You agree that all agreements, notices, disclosures and other communications we provide electronically satisfy any legal requirement that they be in writing.
26. Export Control & Sanctions
You confirm that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive sanctions, and that you are not listed on any government list of prohibited or restricted parties. You will not use or export the Service in violation of any applicable export-control, anti-money-laundering or sanctions law.
27. Dispute Resolution, Class-Action & Jury Waiver
Any dispute, claim or controversy arising out of or relating to the Service or these Terms shall first be addressed through good-faith negotiation by sending written notice to Stavdaninomusic@gmail.com. If not resolved within 30 days, the dispute shall be resolved on an individual basis only. You waive any right to participate in a class action, collective action or representative proceeding against us, and to a jury trial, to the maximum extent permitted by law. Claims must be brought within one (1) year of the event giving rise to the claim, otherwise they are permanently barred.
28. Miscellaneous
These Terms (together with the Privacy Notice and Refund Policy) are the entire agreement between you and us regarding the Service and supersede any prior agreement. If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable. Our failure to enforce any right is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, reorganization or sale of assets. Headings are for convenience only. Force majeure events (including outages of third-party providers, cyber attacks, government actions, war, strikes, pandemics, and acts of nature) excuse our performance to the extent affected. These Terms operate for the benefit of Stav Danino and our affiliates, successors and assigns.
28A. Frequency Affiliate Program
Enrollment. The Frequency Affiliate Program (also referred to internally as "Frequency Waves") is open to every active Frequency account holder. Visiting your affiliate dashboard or sharing your personal link constitutes acceptance of these Terms, of the general Terms of Service and of the Privacy Policy. We may suspend, restrict or terminate your affiliate account at any time in our sole discretion.
Commission & tiers. The Program pays a recurring commission of 20%–30% of the net payment (after processor fees, taxes and refunds) for every active paying customer who signs up through your personal link, for as long as their subscription remains active and paid in full. The rate is set by your tier (Beat / Track / Frequency) based on your currently active paying referrals, and may be revised by us from time to time with reasonable notice.
Automatic Free-tier rewards. For every referral who signs up to the Free plan, the system credits you automatically: 5 Free customers — 1 free month on your current plan; 9 — 2 free months on your current plan; 20 — 3 free months on the tier above your current plan. Each threshold is granted once, based on your subscription tier at the moment of grant, is non-transferable, non-resellable and not redeemable for cash. We may cancel or suspend a reward tied to a referral who is removed, flagged, blocked, cancelled, refunded, or found to be duplicate/fraudulent.
Payouts, minimums & refund window. Payouts are sent to your PayPal account once per month, subject to a minimum threshold (ILS 50 / USD 15 / EUR 14 / GBP 12). Commission on a new referral enters a "pending" state until the refund window (30 days) has elapsed. If the referral obtains a refund, cancels within that window, or their payment charges back, the commission is reversed and offset against your balance. You are responsible for the accuracy of your PayPal details; incorrect data, account rejections and PayPal KYC failures are not our responsibility.
Taxes & reporting. Commissions are paid gross. You are solely responsible for reporting income, collecting taxes and complying with every legal obligation in your country of residence (income tax, VAT, social security, etc.). Frequency and Stav Danino are not your employer, agent or partner. The relationship is that of an independent contractor only.
Fair marketing. The following are strictly prohibited: spam ("blast to all your contacts"), bidding on Frequency's brand keywords or trademarks ("brand bidding") without prior written approval, impersonating an official representative or using our logo/graphics in a way that implies official authority, creating fake accounts to activate your link, bots, farming, incentivized traffic ("get paid to sign up"), price misrepresentation, unauthorized "cash-back" offers, and any activity that violates law — including CAN-SPAM, GDPR, CCPA, and equivalent laws in your jurisdiction. Breach entitles us to immediate termination and clawback of accrued commissions.
Personal link & landing page. Frequency automatically generates a personal link and a landing page that display your name, username and profile photo. The license you grant us to display this information is valid for as long as your affiliate account is active. The link itself is Frequency's property and we may revoke or recycle slugs. You may not create parallel links, cloak the link, or hide the destination.
No income guarantee. We make no representation or promise regarding commission amounts, number of referrals, conversion rate or duration of any referral's activity. The results of other affiliates are not a representation of your future performance.
Termination. Either party may terminate participation at any time. Upon termination, commissions that have been properly earned and cleared the refund window are paid per the terms above; pending commissions and commissions accrued on non-compliant activity are forfeited.
28B. Teaching, students, minors and guardians
If you use Frequency's teaching tools (student management, lessons, homework, finance, approve/reject notifications, "Teaching Hub", "Inspiration Corner", student/parent companion links, and invitation tokens such as /t/<token>, /s/<token>, /companion/<token>), you represent and warrant that you: (a) have full legal authority to collect the information and manage the educational relationship with the students you enter into the system; (b) have obtained each student's consent — and, where a minor is involved, the written consent of the parent/guardian — before entering any personal information into the platform; (c) are solely responsible for pedagogical content, quality of instruction, teacher-student payments, invoices you issue, and compliance with every applicable local law (licensing, tax, data protection, online safety). Frequency is a tools provider only, is not a party to the teacher-student relationship, does not endorse teachers, and performs no licensing, screening, service level agreement, or insurance on the teacher's behalf.
28C. Team accounts, workspaces and impersonation
Frequency supports Team Members who receive access to another account owner's workspace, including the ability to "act as" the owner (impersonation) for day-to-day operations. The primary account owner is solely responsible for inviting only trusted parties, setting permissions, monitoring the activity log, and removing access immediately when the collaboration ends. Actions performed by a team member are identified within the system but are legally deemed to be the actions of the account owner, and are not a representation that Frequency has approved or supervised them. The team member undertakes to act strictly within their permissions, not to extract data, not to transfer access, and not to use the workspace for personal purposes.
28D. Reliance on AI and intelligent features
All output from AI features (track analysis, recommendations, "Inspiration Corner", "Teaching Hub", student insights, financial analytics, marketing copy, translations, lesson summaries, TTS/STT and the like) is provided "AS IS" for assistance purposes only, and does not constitute professional advice — legal, medical, financial, musical, career, pedagogical, or otherwise. You are responsible for reviewing, verifying and updating every output before actual use, especially towards customers, students or third parties. Frequency shall not be liable for any decision you take in reliance on AI output, nor for any error, omission, hallucination, bias or infringement of third-party rights arising from your use of that output.
28E. Public landing pages, marketing and public catalogs
Frequency lets you create public profiles (artist, DJ, teacher, label, EPK, landing pages, marketplace, services) and share them at unique URLs. You are responsible for ensuring that every piece of content, image, audio, price, claim ("credited to…"), name or logo you display on a public page — is owned by you or licensed to you, is accurate, is not misleading, does not infringe trademarks, does not create a false affiliation, and does not violate the consumer-protection laws of the country where the viewer is exposed to it. Frequency may remove any public content at any time in its sole discretion.
28F. College accounts, instructors and public college pages
Account structure. An account holding teaching seats may invite additional instructors into its Teaching module (a "college account"). All instructors operate under the account owner and strictly within the owner's quotas (students, classes, storage, AI quotas) — they have no separate subscription, quota or billing. The account owner is Frequency's sole customer, is responsible for payment, and is solely responsible for every action taken by an instructor they invited. College accounts are available from the Pro plan (2 teaching seats — owner + 1 included instructor) and on Studio (3 teaching seats included). Every instructor beyond the seats included in the plan requires purchasing an additional paid monthly instructor seat (see the add-ons section).
Permission levels. Three levels exist: (a) Instructor — sees and manages only the students, classes and sessions assigned to them; (b) Coordinator — sees all students and classes in the account; (c) Teaching Manager — full management rights inside the Teaching module, except purchasing seats, changing the subscription or managing billing, which remain with the account owner only. Instructor actions are logged but are legally deemed actions of the account owner (consistent with section 28C).
Privacy and student protection. The account owner is the data controller for student and instructor data in the account; Frequency acts as processor on their behalf. The owner undertakes to: assign instructors only to students they have a legitimate need to access; obtain the student's consent — and, for a minor, the parent/guardian's consent — before sharing their details with an additional instructor; and remove access immediately when an instructor's engagement ends. Removing an instructor blocks their access immediately; student data remains owned by the account.
Quotas and enforcement. The number of active instructors may not exceed the actual seat quota (plan + purchased seats). On downgrade or seat cancellation, access for instructors above quota is blocked automatically and the account owner decides who remains active. A single seat may not be shared by more than one person, and login credentials may not be shared between instructors.
College profile and public page. You may publish a public college page at a unique URL (/college/<slug>) with the institution's name, logo, description, contact details, programs and faculty. The account owner represents that: they are entitled to use the institution's name, trademarks and logo; they obtained each instructor's explicit consent to publish their name, photo, title and biography; every claim of accreditation, recognition, licensing or certification is true, accurate and not misleading; and the content complies with the consumer-protection and advertising laws applicable where the viewer is located. Frequency does not endorse, accredit, rate or vet educational institutions, and is not a party to any engagement between the institution and inquirers or students. Frequency may remove or suspend a public page at any time in its sole discretion.
Inquiries from the college page. An inquiry left by a visitor on the public page is stored as a lead in the institution's account. The account owner is responsible for handling inquiries in accordance with applicable privacy and anti-spam laws (including a lawful basis for marketing, opt-out and deletion on request), and acts as the data controller for those inquiries.

Appendix — Latest Updates (effective July 20, 2026)
These clauses form an integral part of these Terms and supplement all other sections. In case of conflict between this appendix and a prior section, the appendix prevails on the specific subject it covers.
A.1 Cookies & Privacy Consent
- On your first visit a cookie banner lets you choose Accept all, Essential only, or Customize (analytics, marketing, AI processing).
- Essential cookies are strictly required to run the Service and cannot be disabled. Other categories run only after your explicit consent.
- Your choice is persisted locally and on your logged-in account and we will not ask again unless you change it in the Privacy Center. You may change or withdraw consent at any time.
A.2 Teacher–Student View-Only Access & Explicit Consent
- When a teacher–student link is created, the student is presented with a global consent dialog to approve or deny, per category, what the teacher may view: projects and audio (listen only), tasks, gigs (date and general details only — no financial data or third-party personal details), aggregate project analytics, and AI insights.
- Teacher access is view-only — no editing, no commercial download, no re-sharing. The student's private community activity and chats are never exposed.
- Students can narrow or revoke consent at any time from the Privacy Center. Upon termination of the link (by student, teacher or system), all teacher access to the student's data is revoked immediately in real time.
A.3 Google Calendar & Google Drive Integrations
- If you connect Google, you grant us a scoped OAuth token to enable two-way calendar sync and automatic project-folder sharing. We do not access data beyond the granted scope and never sell or train models on it.
- You may disconnect at any time from account settings or via Google. Disconnection stops future sync; items already synced remain yours in the respective system.
A.4 Push Notifications
You may receive push notifications on linked devices for system events (reminders, lessons, gigs, security). You may opt out any time from notification settings or your device OS.
A.5 Bandwidth Quotas & Top-Ups
- When monthly bandwidth (Ingress/Egress) reaches 90% of your quota, we offer the option to purchase a bandwidth top-up via Paddle. Below 90%, top-ups are not offered to avoid unnecessary purchases.
- At 100%, new bandwidth-consuming operations (media uploads/downloads) may be blocked until the monthly reset or a top-up is purchased. Your existing content remains accessible.
A.6 Security, 2FA and Bot Protection
- For sensitive accounts (admin, team owners) we enforce Two-Factor Authentication (2FA). All users are encouraged to enable it.
- We protect sign-up/sign-in flows with Cloudflare Turnstile. Cloudflare may block suspicious IPs; blocks are visible in the Security Center and you may contact us to lift a block.
- We run automated security scanners (RLS, SAST, DAST, secret scan, permissions analysis, SSL checks). Their activity is recorded in the Audit Log.
A.7 Error Telemetry (Sentry) and Audit Log
- We use Sentry to collect technical errors and crashes only (stack trace, device type, version). We do not collect user content via Sentry. Data is used to identify and fix bugs.
- Sensitive admin actions (granting permissions, closing accounts, quota changes) are stored in an Audit Log for security and compliance.
A.8 Coupons, Gifts, Referrals
Gifts, coupons and referral programs are personal promos, non-transferable, non-redeemable for cash, and may be revoked, modified or limited without prior notice. Abuse (fraud, resale, multi-account) triggers immediate revocation.
A.9 Team Collaboration & Label OS / CRM
- When using team tools, CRM, and Label OS, you may upload third-party details (artists, contacts, clients). You are the Data Controller of those contacts and confirm you have a lawful basis to process them. Frequency acts solely as a Processor on your behalf.
- You must respond to access/erasure requests from your contacts and update/delete them via the in-app tools. We will assist on reasonable request.
A.10 Responsible Disclosure & Bug Bounty
If you find a security vulnerability, please report it to Stavdaninomusic@gmail.com before public disclosure. We will not pursue legal action against good-faith researchers acting within our Responsible Disclosure policy (see the Bug Bounty page). DoS, flooding, breaching other users' privacy, or accessing data that is not yours is not protected by this policy.
A.11 Privacy Center & DSR Requests
Via the Privacy Center you can: view and update consent preferences, export your data, delete your account and all associated content, and review active integrations. Real-time deletions apply immediately; full deletion from backups completes within 30 days.
