These Terms & Conditions ("Terms") govern your access to and use of Frequency (the "Service"), a music production and career management platform operated by Stav Danino, a licensed business (Osek Murshe) in Israel ("we", "us", "our", or the "Seller"). By creating an account or using the Service, you agree to be bound by these Terms.
1. The Service
Frequency provides tools for musicians, producers, and DJs to manage tracks, analyze audio using AI, plan releases, and collaborate. Features and limits depend on the subscription plan you select.
2. Eligibility & Account
- You must be at least 16 years old (or the age of majority in your country) and have authority to accept these Terms.
- You agree to provide accurate registration information and keep it updated.
- You are responsible for safeguarding your account credentials and all activity under your account.
3. Subscriptions, Billing & Payments
Frequency is offered as a recurring monthly subscription. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries related to billing and handles returns.
Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Your subscription renews automatically each billing period at the then-current price until canceled. You can cancel at any time from your account or via paddle.net.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose, fraud, spam, or to infringe intellectual property rights.
- Upload audio you do not own or do not have a license to use.
- Interfere with the security, integrity, or performance of the Service (including malware, probing, scraping, or attempting unauthorized access).
- Reverse engineer, resell, or redistribute the Service.
5. AI Features
- AI analyses and chat responses are generated automatically and may be inaccurate or incomplete. Outputs are for informational purposes only and are not a substitute for professional advice.
- You are responsible for your prompts, the audio you upload, how you use AI outputs, and verifying their accuracy before relying on them.
- You confirm you have the rights to any audio or content you submit for AI processing.
- We may filter, refuse, or remove content or outputs that violate these Terms.
- Prohibited AI uses include: generating illegal content, deepfakes, hate speech, malware, or jailbreaking the system.
6. Your Content & License to Us
You retain ownership of audio, lyrics, images, and other content you upload ("User Content"). You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display your User Content solely to provide and improve the Service.
7. Intellectual Property
The Service, including software, design, branding, and documentation, is owned by Stav Danino and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan.
8. Service Availability
We work to keep the Service available, but we do not guarantee uninterrupted or error-free performance. We may modify, suspend, or discontinue features at any time.
9. Suspension & Termination
We may suspend or terminate your access for: material breach of these Terms, non-payment, security or fraud risk, or repeated/serious policy violations. On termination, your right to use the Service ends; you may export your data within 30 days, after which it may be deleted.
10. Disclaimers & Limitation of Liability
To the fullest extent permitted by law, the Service is provided "as is" without warranties of any kind, express or implied (including merchantability and fitness for a particular purpose). Our aggregate liability for any claim arising out of these Terms or the Service is limited to the fees you paid in the 6 months preceding the claim. We are not liable for indirect, consequential, special, or incidental damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury where such exclusion is prohibited by law.
11. Indemnity
You agree to indemnify Stav Danino against claims arising from your User Content, your unlawful use of the Service, or your violation of these Terms.
12. Changes to the Terms
We may update these Terms from time to time. Material changes will be notified via the Service or by email. Continued use after the effective date constitutes acceptance.
13. Governing Law
These Terms are governed by the laws of the State of Israel. Disputes will be resolved exclusively by the competent courts of Tel Aviv, Israel, except where prohibited by mandatory consumer law.
